We'll cover how to get ahead of a term sheet: the prep and clean-up that make diligence boring (in the best way), cap table math and option-pool increases, and the housekeeping founders put off, like chasing down unsigned IP assignments, nailing down equity you promised but never papered, and wrangling a long list of SAFE holders before they need to sign your investment docs. Do it early and each later round starts from something, not from scratch.
We'll also get honest about legal cost. Using AI in drafting, together with standardized NVCA and Series Seed templates and the common negotiated terms that come with them, can meaningfully reduce fees on a vanilla financing. But judgment is where cost lives: thorny diligence, complex drafting, issues investors raise, or a complicated cap table can all make pricing hard to predict, especially for multi-founder startups with multiple share classes, super-voting or non-voting structures, or founder disputes. Some of that you can't control. What you can control is hiring good counsel early and documenting from the start, which prevents the expensive clean-up and chasing later. A lot of this comes down to harm reduction and cost mitigation.
